A note on settled funds

Client acknowledges and accepts that subscribers whose subscriptions to the Offering are to be accepted in accordance with a Closing Authorization may have the faculty to initiate a chargeback (or similar action) for at least 90 days following the transfer of subscription funds to Company’s trust account (each a “Chargeback”) as a result of which subscription funds accompanying their subscription may be revoked or otherwise withheld from Company’s trust account. Client accepts that Company cannot prevent a Chargeback which as a result shall not be imputable to Company which shall incur no liability for any adverse consequences a Chargeback may cause to Client.
