How to access RED filing information after a closing

If you raised using the crowdfunding exemption or the accredited investor exemption with over 50 shareholders, you'll need to file a Report of Exempt Distribution (RED).

Accessing your RED data via addy Business

Getting access to your RED filing information to submit your filing to the regulators is simple.

After you log into your addy Business account, select the entity you have recently closed transactions for, then you can head to the "Report of Exempt Distribution" page via the top navigation bar. Once there, find the download option, which will allow you to download the following files:

All Exemption Types: This is a summary of all the transactions that were associated with a closing, regardless of the exemption that was used.

NI 45-110 Start Up Crowdfunding Exemption: This will be a summary of all the transactions that were processed in this closing using the 45-110 exemption. Other exemptions used will be omitted.

NI 45-106 Section 2.3 Accredited Investors: This will be a summary of the transactions processed under the accredited investor exemption, omitting all other exemptions.

Offering Document - English: This will be a copy of the document available to investors at the time of the closing. This will be required to file your RED.

Offering Document - French: This is the French copy of the Offering Document, only available if the offering was open to Quebec investors.

Unique Investor Breakdown: This is a summary of the number of investors and investment amounts that were included in the closing grouped by province and exemption type. This is an important file for completing your RED filing. The file will look like this:

In the RED tool on addy Business, each closing has an associated deadline to file the report. ⚠️Failing to meet this deadline may result in fines.⚠️ Please ensure you are aware of this deadline for your closing.
