What do I need in place to raise capital with addy?

The Ready Checklist within your addyBusiness account is a list of items you must complete before launching a public offering.

Within your addyBusiness account is a list of items that must be uploaded and verified before an offering can go live on the addy platform for members to be able to review. Make use of the "Raise Captial Checklist" to allow you to complete each field with a helpful modal popup to guide you through the process. Below is an example of what the Ready Checklist looks like. It can be found within the Raise Capital tab within your addyBusiness account.

Instrument Type:

The instrument type can be either "Equity" or "Debt". Select the option that applies to your issuance.

ROI and IRR:

Input the ROI and IRR that pertain to your issuance. This will be displayed to the investors on the investment pages.

Issuance Type:

There are two options for Issuance Type, Public Issuance with addy or Private Issuance.

A "Public Issuance with addy" allows you to raise capital from the addy community. All investor funds must be processed through addy.

A "Private Issuance" is limited to investors you invite. You can accept funds in two ways:
- Direct wire transfers, which you handle as the issuer.
- Funds processed through addy, similar to a Public Issuance.

Primate Contact Person:

Fill in the information related to the primary contact for this issuance. This information may be displayed on legal documents related to this issuance. See tooltip on the following fields for more information:

Offering Financial Information:

The "Offering Financial Information" section contains a number of fields that control the Issuance it's corresponding landing pages. A breakdown of each field is listed below.

- Currency 

What currency does the Issuance accept.

- Dealer Fee (Percentage)

- This field records the percentage of each transaction that is received by the dealer. Please enter a number between 0 and 100.

- Term (Months)

The Term length in months. This will automatically convert to year/months within the UI for investors.

- Offering Date 

- The initial date of the offering.

- The closing date of the offering per Section 5.3 of the Offering Document.

- Maximum Securities for Sale

- State the maximum number of securities (shares or LP Unit) that are available to be sold in your issuance. This field populates the Issuer's subscription agreement Appendix A section 5.1 (u).

- Minimum Securities for Sale 

- State the minimum number of securities (shares or LP Unit) that must be sold before your issuance can be completed. The issuance will remain open to new investment at least until this amount is reached. This number will be displayed publicly, most notably on the property progress bar

- Cost Per Security

- This is the dollar value you are selling each security for. It will be displayed in the Buy Widget and more. Click here to see the complete list.

- Type of Security

- Indicate the type of eligible securities offered. The securities offered need to match the legal documents provided. External display: This will populate the offering document. To learn more, visit this article.

- Rights, restrictions, and conditions of securities offered 

- The restrictions and conditions required to be described here are found in by-laws, shareholder's agreements or limited partnership agreements. To learn more, visit this article.

- Security Name

- Security Name is the legal name of the security you are issuing. This name usually refers to the specific type and class of security being issued, for example “Class A Common Shares”, or "Class B LP Units", or "LP Units". This is found in your Limited Partnership Agreement or Shareholder Agreement. Security Name appears in closing documents, the Subscription Agreement, and other important legal documents. It is crucial to a successful issuance that this value is fully correct. To learn more, visit this article. 

- Accredited Investor Limit (per Investor)

-  Set the limit for what Accredited Investors can invest

- Strategy Type

- The Property Type is shown on the Income Ladder and other weighting visualizations on the app so that investors can know how much they have in each property type.

- Offering Jurisdictions 

- This will control the available jurisdictions that will be able to invest in your offering, as well as populate the offering document. Note: In order to offer your issuance in Quebec, you must provide a French offering document. To learn more, visit this article.
